Legal & Service Role Notice

StellarArcus LLC operates the StellarHaus service brand. StellarHaus provides Project Sourcing, analysis, documentation, negotiation support, and coordination services.

 

This Notice describes StellarHaus’s standard operating role. The actual scope and responsibilities for each project are defined in the applicable written agreements and project documents.

 

1. StellarHaus’s standard role

 

Depending on the engagement, StellarHaus may:

 

  • clarify project and product requirements;

  • structure sourcing briefs;

  • identify and compare products or manufacturing paths;

  • communicate with suppliers and manufacturers;

  • assess supplier and product information;

  • clarify customization feasibility;

  • coordinate samples, prototypes, and Product Development Support;

  • organize quotations, documentation, timing, and commercial information;

  • support negotiation;

  • prepare comparison, approval, and order-readiness materials;

  • coordinate production follow-up;

  • coordinate inspection, importing, customs, freight, warehousing, delivery, and claims workflows with the appointed providers.

 

The services performed for a particular project depend on the signed scope and approved project stage.

 

2. Roles StellarHaus does not automatically assume

 

Unless a signed agreement expressly states otherwise, StellarHaus is not:

 

  • the manufacturer;

  • product seller or reseller;

  • distributor;

  • merchant of record;

  • buyer;

  • product-title holder;

  • importer of record;

  • customs broker;

  • freight forwarder;

  • carrier;

  • warehouse;

  • testing laboratory;

  • certification body;

  • independent inspector;

  • licensed architect or engineer;

  • installation contractor;

  • insurer;

  • lender;

  • payment custodian;

  • escrow provider;

  • guarantor of supplier or third-party performance.

 

StellarHaus does not assume one of these roles merely because it introduces, communicates with, evaluates, or coordinates the relevant participant.

 

3. Buyer, seller, and purchase-order structure

 

Under the standard Project Sourcing model:

 

  • the client or its designated project entity is normally the buyer;

  • the supplier is normally the seller and manufacturer;

  • StellarHaus provides sourcing and coordination services.

 

StellarHaus may prepare or coordinate purchase-order information and supporting documentation for client approval. Doing so does not make StellarHaus the buyer or seller.

 

The final purchase-order structure, contracting parties, title transfer, risk of loss, Incoterms, payment terms, and warranty obligations must be confirmed in the applicable project documents.

 

4. Payments and project funding

 

Unless written project documents provide otherwise:

 

  • clients pay StellarHaus’s service fees to StellarArcus LLC;

  • clients pay supplier costs to the applicable supplier;

  • clients pay testing, inspection, importing, customs, freight, insurance, warehousing, and delivery costs to the applicable providers.

 

If a project uses a coordinated funding or payment interface, funds intended for suppliers or third-party providers should be handled through the designated regulated payment, collection, or escrow provider under that provider’s terms.

 

StellarHaus does not become an escrow provider, payment custodian, lender, or guarantor merely by coordinating payment information or milestones.

 

5. Importer of record and customs

 

The client, its designated entity, or an appointed third party normally acts as importer of record.

 

The importer of record and appointed customs professionals remain responsible for their applicable legal and professional obligations, including entry, classification, valuation, documentation, duties, and regulatory compliance.

 

StellarHaus may help coordinate information and providers but does not become the importer of record or customs broker solely by performing coordination services.

 

6. Testing, certification, and compliance

 

Testing, certification, code, labeling, documentation, installation, and regulatory requirements vary by product, application, destination, and jurisdiction.

 

Qualified laboratories, certification bodies, engineers, code professionals, or other advisers perform their respective professional functions.

 

StellarHaus may help identify requirements, collect documents, and coordinate qualified providers. It does not independently certify products or provide licensed engineering, architectural, customs, or legal opinions.

 

7. Inspection and quality control

 

Inspection can reduce certain risks but cannot guarantee that every unit will be defect-free or that every issue will be identified.

 

The inspection scope, sampling method, acceptance criteria, timing, and responsible provider should be defined before inspection.

 

Independent inspectors remain responsible for their own services and reports.

 

8. Third-party providers

 

Testing, certification, inspection, importing, customs, freight, insurance, warehousing, and delivery services may be performed by independent providers under their own terms.

 

StellarHaus may help identify, organize, and coordinate those providers but does not replace their professional duties or guarantee their independent performance.

 

References to a provider do not constitute a guarantee that the provider will be appropriate for every project.

 

9. Client responsibilities

 

Clients remain responsible for:

 

  • providing accurate and sufficiently complete project information;

  • identifying critical design, performance, code, installation, and timing requirements;

  • reviewing product and supplier information;

  • approving samples, configurations, suppliers, costs, and project decisions;

  • obtaining professional advice where required;

  • approving purchase orders and payment commitments;

  • appointing the buyer and importer of record;

  • making consequential commercial decisions;

  • promptly communicating changes or concerns.

 

StellarHaus supports and structures decisions; it does not make material client commitments without authorization.

 

10. Product and supplier risk

 

StellarHaus’s process is intended to improve information, clarify uncertainties, and reduce avoidable sourcing and execution risk.

 

It cannot eliminate all:

 

  • manufacturing risk;

  • supplier-performance risk;

  • product risk;

  • commercial risk;

  • regulatory risk;

  • logistics risk;

  • installation risk;

  • warranty risk;

  • political, tariff, or market risk.

 

A recommendation or sourcing assessment reflects the information reasonably available at the time and may need to be updated if conditions or requirements change.

 

11. Costs, timing, and estimates

 

Factory quotations, development costs, sample costs, tooling, testing, inspection, packaging, freight, insurance, tariffs, duties, customs, storage, and delivery costs may change.

 

Production and delivery schedules may also change due to:

 

  • supplier capacity;

  • product revisions;

  • testing;

  • inspection;

  • material availability;

  • freight conditions;

  • customs;

  • weather;

  • government action;

  • other circumstances.

 

Only the latest approved quotations, project documents, and signed agreements govern actual commitments.

 

12. Claims, defects, and warranty

 

Supplier warranties, inspection records, purchase orders, shipping documents, insurance terms, and applicable law may affect how a defect, shortage, delay, damage, or other claim is handled.

 

StellarHaus may assist with evidence organization, communication, and claims coordination where included in the engagement.

 

Unless expressly agreed otherwise, StellarHaus does not become the supplier’s warranty provider or guarantee that a supplier, carrier, insurer, or other provider will accept or pay a claim.

 

13. AI-assisted work

 

AI-enabled tools may assist with:

 

  • information structuring;

  • product and quotation comparison;

  • total-cost analysis;

  • evidence organization;

  • documentation;

  • project tracking.

Supplier relationships, feasibility judgment, negotiation, recommendations, and client communications remain human-led.

Clients retain control over material selections, approvals, funding decisions, and commitments.

 

14. No website commitment

 

Website descriptions are general and do not create a project commitment.

 

The scope, deliverables, fees, payment structure, responsibilities, approval rights, and risk allocation for an engagement are established in writing before the relevant work or commitment begins.

 

15. Controlling documents

 

If this Notice conflicts with a signed agreement or approved project document, the signed agreement or approved project document controls for that engagement.
