These Website Terms of Use govern access to and use of the StellarHaus website.

The website is operated by StellarArcus LLC under the StellarHaus service brand. In these Terms, “StellarHaus,” “we,” “us,” and “our” refer to StellarArcus LLC operating through StellarHaus.

1. Acceptance of these Terms

By accessing or using the website, you acknowledge these Terms. If you do not agree, do not use the website.

Additional notices may appear near forms or particular website functions. Those notices form part of these Terms for the relevant function.

2. Eligibility and business use

The website is intended primarily for adult business and professional users.

By submitting an inquiry, you represent that:

4. No client or agency relationship through website use

Visiting the website, submitting an inquiry, sending an email, or participating in an introductory conversation does not by itself create:

  • a client relationship;

  • paid engagement;

  • agency relationship;

  • fiduciary relationship;

  • partnership;

  • joint venture;

To the fullest extent permitted by law, StellarHaus and its owners, officers, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from access to or use of the website.

To the fullest extent permitted by law, StellarHaus’s aggregate liability arising solely from use of the public website or reliance on general website content will not exceed US$100.

These limitations do not apply to liability that cannot lawfully be limited or excluded. Liability arising from a paid engagement is governed by the applicable signed agreement rather than this website limitation.

 

18. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or reasonable costs arising from:

  • your unlawful use of the website;

  • material you submit without the required rights;

  • your material violation of these Terms;

  • your infringement of another party’s rights.

 

This section does not require indemnification for losses caused by StellarHaus’s own conduct where such liability cannot lawfully be shifted.

19. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

 

Subject to applicable law, disputes arising solely from use of the website will be brought in the state or federal courts having jurisdiction in Delaware, and the parties consent to those courts’ jurisdiction.

Project agreements may establish different dispute-resolution provisions for the applicable engagement.

20. Severability and waiver

 

If a provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure to enforce a provision is not a waiver of the right to enforce it later.

21. Changes to these Terms

We may update these Terms as the website, services, or legal requirements evolve.

The “Last updated” date identifies the current version. Changes apply prospectively to website use after publication, except where applicable law requires another form of notice or consent.
